General Terms and Conditions


These General Terms and Conditions apply to the sale of all the products on offer on the SOOBAYA website. The Client acknowledges having taken due cognizance of the provisions hereunder before placing orders. By choosing to buy products on the SOOBAYA website, the Client explicitly accepts the terms laid out below.

Article 1- Orders

On the Internet site
A copy of this contractual information will be presented and confirmed no later than at the time of delivery. HOLIDAY WEAR FACTORY SAS reserves the right to cancel or refuse any order from a Client with whom there exists litigation concerning the payment of a previous order.

Article 2 – Validation

The Client shall declare having taken cognizance of and accepted these General Terms and Conditions of Sale before placing orders. The validation of an order therefore implies the acceptance of these General Terms and Conditions of Sale. Unless proven otherwise, the information recorded by HOLIDAY WEAR FACTORY SAS constitutes the proof of all the transactions carried out by HOLIDAY WEAR FACTORY SAS and its clients.

Article 3 – Prices

The prices of our products are indicated in Euros, inclusive of all taxes. Forwarding charges are calculated and applied in addition to the price of the product. (French VAT of 20%)
HOLIDAY WEAR FACTORY SAS reserves the right to change the assortment at any time, in terms of both products and prices and depending on supply constraints in particular. However, subject to availability, the products will be invoiced on the basis of the prices prevailing when the order was placed.

Article 4 – Availability
Our offers of products and prices remain valid as long as they can be seen on the site, and while stocks last. For products that are not stocked in our warehouses, our offers are valid subject to availability at our suppliers. In the later case, the Client is informed about the availability of products when placing his/her order. As such information comes direct from our suppliers, errors and changes may exist in exceptional cases. If a product is unavailable after the placing of an order, we will inform the Client as soon we as can by email or by post. For payments made by check, if all or part of the ordered products are unavailable, the refund by HOLIDAY WEAR FACTORY SAS will be carried out either by crediting the client's bank account or by check, no later than 30 days after the payment by the Client.

Article 5 – Delivery
The products are delivered to the address given by the Client during the placing of the order. The delivery times indicated are average periods required for processing and delivery. If products are deliverable at different dates for reasons of availability, the delivery date will be based on the  longest deadline. HOLIDAY WEAR FACTORY SAS  reserves the right to divide deliveries. Processing and delivery charges will be for one delivery only. HOLIDAY WEAR FACTORY SAS cannot be held responsible for the consequences of delayed deliveries. Any order not dispatched  within 30 days of the placing of the order is cancelled, unless otherwise stated and announced in the sale offer.
In cases of delayed delivery, an email is sent to the client.
In the case of payment by bankcard or store card, the deadlines indicated are the average periods required for processing and delivering the products to addresses in mainland France.
When deliveries are divided up, only the dispatched items are debited. If payment is made by check the order will be processed on receipt of the cheque. As a result, the deadlines applicable in this case are those in existence when the check is received, and which might be different from those prevailing when the order was placed.

Article 6 – Payment
Clients can pay for their purchases either by bank card.

The card is debited only when the order is being dispatched.
In the special case of pre-ordered items, the Client's card may be debited as early as three days before his/her order is dispatched.

Article 7 – Money back guarantee
A Client who is not satisfied with a product can return it within14 days of receiving the product. The Client is responsible for return costs.

This right of return requires that products be returned in their entirety, in their original condition and packaging and complete (accessories, explanatory leaflets...), in good condition and accompanied by a copy of the invoice. Items that are incomplete, damaged or soiled by the Client are not eligible for return.

Article 8 – Refund
There will be a deadline of 15 days for refunding the items referred to in Article 6 after the reception of the products by  HOLIDAY WEAR FACTORY SAS.
HOLIDAY WEAR FACTORY SAS will carry out the refund either by crediting the Client's bank account or by a check made out to the Client who placed the order and sent to the billing address.
No item can be returned against immediate refund.

Our site is secured by an SSL encryption system that protects all sensitive data relating to payment methods.

Article 11 - Responsibility
The products on sale comply with existing French Law and with standards applicable in France. HOLIDAY WEAR FACTORY SAS cannot be held responsible for failure to respect the Law of the country to which the product is delivered (for example, a banned product…). It is the Client's responsibility to check with the local authorities about the possibility of importing or using the products or services to be ordered.

The reproduced photographs and graphics used to illustrate the products are for information only. HOLIDAY WEAR FACTORY SAS cannot be held responsible for failure to execute the contract in case of force majeure, disruptions, a total or partial strike, in particular of the postal services and public transport and/or communications, flooding, fire, etc.

Article 12 – Applicable Law, litigation
This contract is subject to French Law and to the exclusive jurisdiction of French courts and tribunals in respect of any dispute.
